Terms and conditions of service
Last Updated 18th November 2024
These terms and conditions apply to all website design and development work carried out by EJC Websites (EJCW) for our clients.
1. Acceptance
You do not need to sign anything for these terms to apply. By accepting a quote from us, you confirm you are happy with and agree to these terms in full.
Please read them carefully – using or paying for our services means you accept everything laid out here.
2. Charges
All project costs are outlined in a quote sent by email. Quotes are valid for 30 days. After that, we may revise or withdraw the quote if it has not been accepted.
Unless otherwise agreed, we ask for a minimum of 33% of the total project cost upfront before we begin. A second 33% is due once we reach the development stage, and the final 34% is due upon completion – before we upload the website or hand over the materials.
You can pay via bank transfer and the Bank details will be included on your invoice.
All ongoing work – including content updates, further site development, and related tasks – will be billed monthly, in arrears, at the agreed hourly rate. Time spent on work will be recorded in increments of no less than 30 minutes.
Digital marketing activities will be billed monthly in advance – this includes social media, Google Ads etc.
3. Client Review
You will have the chance to review your site’s design and content during the process – once in the design stage, and again when everything is complete. If we do not hear from you within 10 days after we have made the final version available, we will assume you are happy and the work is approved, and final project payment is due.
4. Timelines & Content
We aim to launch your site on or by the agreed date, as long as we have received your initial payment. If you need more time or a delay, just let us know and we will agree on a new timeframe together.
To keep the project moving smoothly, we ask you to nominate one person to act as your main contact with us.
Throughout the project, you will need to send us your website content – this includes any text, images, videos, or audio you want included.
5. If Content Is Delayed
As a small business, our scheduling is important to make sure projects run on time. Sometimes we turn down new work to make room for your project.
If we cannot move forward because we have not received the content we need from you in the agreed timeframe, we may invoice you at the end of the month for the work completed so far.
6. Payment
EJC Websites will send you an invoice once your website is ready – before we make it live. Invoices are usually sent by email, but we are happy to provide a paper copy if you prefer.
Invoices are due when received (or within 5 days if agreed in advance). If payment is not made within 21 days, we will apply a late fee – whichever is greater: 1.5% interest or £30 per month on the outstanding balance.
7. Additional Costs
You agree to cover any extra costs needed to complete your project. This might include buying special fonts, stock images, or any extra software and plugins as required.
8. Browser Compatibility
We build websites to work well with the most commonly used browsers (such as Chrome, Firefox, Internet Explorer 11, etc.). While we do our best to make sure your website looks great across the board, we cannot promise full compatibility with every browser and operating system.
If a new version of a browser comes out after your website is finished and causes display issues, we may quote for any updates needed to fix those problems.
9. Late Payment & Account Defaults
If a payment is not received within 30 days of the invoice date, your account will be considered in default. In such cases, EJC Websites reserves the right to take the following actions:
- Temporarily place your website in “Maintenance” mode
- Remove your website and/or files from our hosting platform
- Engage our debt collection service in order to achieve payment of all outstanding funds.
Before any action is taken, we will communicate with you directly and provide a deadline for resolution.
Important Notes:
- EJC Websites is not responsible for any loss of data resulting from the removal of your site or files.
- Removal of services does not absolve you of your financial obligations — all outstanding invoices must still be paid in full.
Returned Payments:
If a cheque is returned due to insufficient funds, a £25 fee will be applied. Your account will remain in default until the full balance (including the fee) is paid.
Refunds and Cancellations:
Payments are non-refundable. This includes cases where services are prepaid (such as hosting) and later cancelled before the end of the term. No refunds or reimbursements will be issued while an account is in default.
Collection Costs:
By entering into this agreement, you agree to cover any reasonable costs incurred by EJC Websites in recovering overdue payments, including but not limited to legal fees and collection agency charges.
10. Ending the Agreement
If you want to cancel your project, we will need a written notice (of at least 60 days). A telephone call is fine in the first instance, but we will only accept the cancellation once it is confirmed in writing.
You will be invoiced for any work we have completed up to the date of the first cancellation request, and payment is due within 30 days.
If you are on a payment plan and choose to cancel before the end of the agreed term, we reserve the option to recalculate the cost of the work completed without any discounts that were originally applied as part of the plan. You will be reinvoiced for that adjusted amount, and payment will be due within 7 days of the cancellation.
11. Legal Use Only
Our services are for legal use only. You agree to keep EJC Websites free from any legal claims resulting from how you use your website, or if your use causes harm to anyone else.
12. Copyright & Permissions
You retain the rights to any content you provide (like images, logos, and text), and you give us permission to use this material for your website.
You are responsible for making sure you have the right to use everything you send us. If a third party owns it, you need to get their permission first.
You also agree to protect us against any claims that might come up if those permissions have not been properly obtained. If needed, we may ask you to show proof of permissions.
13. Providing Materials
Unless we have agreed otherwise, we assume that you will send us your written content in digital form (by email or USB) and that images will be either:
High-quality prints (if physical)
Or digital files in .gif, .jpeg, .png, or .tiff formats.
We will make every effort to return any printed items you provide, but we cannot guarantee it.
14. Credit & Portfolio Use
We will add a small credit link to our site in the footer of your website. If you would prefer not to include this, there is a small fee:
10% of the total development cost
Or a flat fee of £250 if your total is under £2500
We may also showcase your project in our portfolio.
15. Changes After Launch
After the site is launched, you can either manage it yourself or choose to pay us a monthly management fee to look after it for you.
Once your website has been completed, EJC Websites is not responsible for any issues that may arise if it is modified by you or a third party. This includes, but is not limited to, accidental deletions, content edits, or changes to the site’s code.
If problems occur due to these changes – whether made directly by you or by someone you have asked us to grant dashboard access to – we can repair or restore the site. However, this work will be billed at our elevated technical support hourly rate. Please get in touch for current rates or more information.
16. Domain Names
We can purchase domain names for you, but keeping them renewed is your responsibility.
If payment is missed and your domain expires, your site and any related email addresses may go offline. In this case, we will keep a backup of your site for 30 days.
You can reinstate it by paying a £250 fee. After 30 days, you will need to request a new quote for a rebuild.
17. Agreement & Legal Terms
These terms override any previous discussions or agreements.
Paying a deposit or using our services means you agree to everything outlined here.
18. Governing Law
This agreement is governed by English law.
19. Limitation of Liability
EJC Websites (and any employees or contractors) are not liable for:
- Losses due to mistakes, inaccuracies, or omissions
- Delays or errors (even if caused by negligence)
- Damage to artwork or photos you supply
EJC Websites is not responsible for any of your website content.
If there is ever a claim or breach of this agreement, our total liability will be limited to the amount you paid us for the services in question.
20. Severability
If any part of this agreement is found to be invalid or unenforceable, the rest still stands. That section will simply be replaced with something as close as possible that is legally valid.
21. Google Ads
We cannot guarantee how well your Google Ads campaign will perform – more traffic is likely, but we cannot guarantee sales.
We will create the campaign using the information you provide. We will also set it up in a non-transferable account that remains with us – this is to protect the setup, structure, and strategy we have created.
To cancel your Google Ads service, we need 60 days’ notice in writing (by email) from the account holder. Once the account is no longer active, we will remove it from our system.
22. Need Help?
If you have any questions about these terms, just get in touch – we are happy to help.
